Terms & Conditions of ReturnIQ
1. Definitions
In these Terms and Conditions, the following definitions apply:
“ReturnIQ” refers to the product offered by FlexiCommerce Ltd.
“FlexiCommerce” refers to FlexiCommerce Ltd., the company that owns and operates ReturnIQ.
“Service” refers to the ReturnIQ platform, including all features, applications, and services accessed through the ReturnIQ website or API.
“User” refers to the individual or entity that has registered for and uses ReturnIQ.
“User Data” refers to all data or information submitted, uploaded, or generated by the User while using ReturnIQ.
“Authorized Users” refers to individuals authorized by the User to access and use ReturnIQ on their behalf.
“Personal Data” refers to any information relating to an identified or identifiable natural person as defined in applicable data protection laws.
2. General Terms
Product Description
ReturnIQ is a return inspection platform owned and operated by FlexiCommerce that enables warehouse operators to process, inspect, document, and manage returned items. ReturnIQ includes features for barcode scanning, multimedia documentation, workflow management, supervisor escalations, and analytics.
Service Access and Availability
ReturnIQ is provided on a subscription basis and is made available to Users over the internet. FlexiCommerce will use commercially reasonable efforts to make ReturnIQ available 24/7, except for planned maintenance, emergency maintenance, or system outages.
Service Modifications
FlexiCommerce reserves the right to modify, suspend, or discontinue any part of ReturnIQ with or without notice. FlexiCommerce will not be liable to User or any third party for any such modification, suspension, or discontinuation.
Third-Party Integrations
ReturnIQ may interoperate with third-party applications, services, or platforms. FlexiCommerce makes no warranties regarding the continued availability or compatibility of such integrations. If a third-party integration becomes unavailable or incompatible, FlexiCommerce will endeavor to provide notification but is not responsible for any resulting limitations in functionality.
3. User Obligations
Users of ReturnIQ must:
- Provide accurate, current, and complete information during registration
- Maintain the security and confidentiality of account credentials
- Be solely responsible for all User Data and activity that occurs under their account
- Use commercially reasonable efforts to prevent unauthorized access to their account
- Promptly notify FlexiCommerce of any security breach or unauthorized access
- Use ReturnIQ only in accordance with these Terms, FlexiCommerce’s documentation, and applicable laws
4. Data Processing and Privacy
Data Ownership
User retains all rights to User Data. FlexiCommerce processes User Data solely to provide ReturnIQ and as specified in FlexiCommerce’s Privacy Policy and applicable Data Processing Agreements.
GDPR Compliance
For Users in the European Economic Area, FlexiCommerce processes Personal Data in compliance with the General Data Protection Regulation (GDPR). FlexiCommerce acts as a data processor for Personal Data submitted, stored, or processed through ReturnIQ. As required by GDPR, FlexiCommerce implements appropriate technical and organizational measures to ensure a level of security appropriate to the risk.
Data Transfers
User Data may be transferred to and stored in locations outside of User’s country. FlexiCommerce ensures that all such transfers comply with applicable data protection laws, including through the use of Standard Contractual Clauses or other approved transfer mechanisms.
Data Retention
FlexiCommerce retains User Data for as long as necessary to provide ReturnIQ and as required by law. Upon termination, FlexiCommerce will delete or return all User Data in accordance with the terms of service and applicable Data Processing Agreements.
5. Intellectual Property Rights
FlexiCommerce IP
FlexiCommerce and its licensors own all right, title, and interest in and to ReturnIQ, including all related intellectual property rights. No rights are granted to User other than as expressly set forth herein.
User IP
User owns all right, title, and interest in and to User Data. User grants FlexiCommerce a limited license to host, copy, transmit, and display User Data as necessary to provide ReturnIQ, subject to the terms of our Privacy Policy and any applicable Data Processing Agreements.
Feedback
If User provides feedback or suggestions regarding ReturnIQ, FlexiCommerce may use such feedback without restriction and without obligation to User.
6. Limitation of Liability
FlexiCommerce’s total liability arising out of or related to these Terms will not exceed the amounts paid by User for ReturnIQ in the twelve (12) months preceding the incident giving rise to liability. In no event will FlexiCommerce have any liability for any indirect, incidental, special, or consequential damages.
7. Term and Termination
The term begins when User creates an account and continues until terminated. Either party may terminate with notice if the other party materially breaches these Terms. Upon termination, User’s right to use ReturnIQ ceases immediately, but sections on Intellectual Property Rights, Limitation of Liability, and Confidentiality survive.
8. Governing Law
These Terms are governed by the laws of England and Wales, without regard to its conflict of laws principles. The parties consent to exclusive jurisdiction and venue in the courts located in London, England.
9. General Provisions
These Terms constitute the entire agreement between User and FlexiCommerce regarding ReturnIQ and supersede all prior agreements. FlexiCommerce’s failure to enforce any provision will not constitute a waiver. If any provision is found unenforceable, it will be limited to the minimum extent necessary. These Terms do not create any agency, partnership, or joint venture.
